Terms & Conditions

1. Introduction

Welcome to Gathr ("we", "us", "our"). Gathr is an event management and ticketing platform operated at gathr.club that enables organizers to create, manage, and sell tickets for offline events, and enables attendees to discover and register for those events.

By accessing or using Gathr — whether as an organizer or an attendee — you agree to be bound by these Terms & Conditions. Please read them carefully before using the platform. If you do not agree to these terms, you should not use Gathr.

2. Definitions

"Platform" refers to Gathr and all its services available at gathr.club.

"Organizer" refers to any individual or entity that creates and hosts events on Gathr.

"Attendee" refers to any individual who registers for or purchases a ticket to an event on Gathr.

"Event" refers to any gathering, meetup, concert, club night, flea market, or other offline event listed on the Platform.

"Ticket" refers to any paid or complimentary entry pass issued through the Platform.

"Custom Work" refers to any development, integration, design, or modification work that is specific to an organizer and not part of the standard Platform offering.

"Beta Feature" refers to any Platform feature or functionality labelled as 'beta', 'preview', or 'experimental' by Gathr.

"Third-Party Service" refers to any external service, API, or infrastructure provider integrated with or relied upon by the Platform, including but not limited to Razorpay, Meta (WhatsApp Business), email delivery providers, and cloud hosting services.

3. Gathr's Role as Intermediary

Gathr is a technology platform that facilitates event management, ticketing, and payment collection between organizers and attendees. Gathr is not an event organizer and is not responsible for the events listed on the Platform.

Gathr acts solely as an intermediary. The contract for any event — including entry, experience, refunds, and cancellations — is between the organizer and the attendee. Gathr is not a party to that contract and accepts no liability arising from it.

4. Platform Availability & Service Standards

4.1 As-Is Basis

The Platform is provided on an "as-is" and "as-available" basis. Gathr does not warrant uninterrupted, error-free, or continuous availability of the Platform. While Gathr strives to maintain 99.9% uptime, this is a target and not a guarantee. Gathr shall not be liable for any loss of sales, bookings, revenue, or business opportunity arising from Platform downtime, slowdowns, or service disruptions.

4.2 Maintenance and Downtime

Gathr may undertake scheduled or emergency maintenance of the Platform, including production releases, server configuration changes, and infrastructure updates, during which availability may be affected. Gathr shall endeavour to provide reasonable advance notice for scheduled maintenance where feasible but does not commit to any specific notice period or maximum downtime duration.

4.3 Platform Evolution

Gathr reserves the right to modify, update, enhance, deprecate, or discontinue any feature of the Platform at its sole discretion. The Platform is a continuously evolving product and minor feature changes, UI updates, and workflow improvements do not constitute a breach of these Terms.

4.4 Beta & Experimental Features

Features labelled "beta", "preview", or "experimental" are provided without any warranty of fitness, reliability, or continuity and may be modified or withdrawn at any time without prior notice. Users of such features do so entirely at their own risk. Gathr shall have no liability for any loss, disruption, or data inconsistency arising from reliance on Beta Features.

5. Third-Party Services & Dependencies

5.1 Reliance on Third-Party Services

The Platform integrates with and relies on Third-Party Services for payment processing, communication delivery, cloud infrastructure, and related functions. Gathr shall not be liable for any failure, outage, policy change, rate revision, or discontinuation of any Third-Party Service. Gathr will make commercially reasonable efforts to notify users of material third-party disruptions affecting the Platform.

5.2 Communication Delivery

Delivery of communications to attendees via email or WhatsApp is subject to third-party service availability, recipient device and network conditions, spam filters, number validity, and applicable platform policies (including Meta's WhatsApp Business policies). Gathr does not guarantee the delivery, open rates, read receipts, or timeliness of any such communications.

5.3 WhatsApp Business Compliance

The Platform's WhatsApp integration operates under Meta's WhatsApp Business policies, which impose restrictions on message content, promotional messaging windows, and template approvals. Organizers are solely responsible for ensuring that any content sent through the Platform's WhatsApp integration complies with Meta's policies. If Meta restricts or suspends messaging capability due to non-compliant content, Gathr shall not be responsible for the resulting disruption.

5.4 Payment Processing

Payments on the Platform are processed through Razorpay or such other payment gateway as Gathr may use from time to time. Attendee payment information is handled directly by the payment processor in accordance with their privacy policy. Gathr does not store full payment card details.

6. For Attendees

6.1 Ticket Purchases

When you purchase a ticket through Gathr, your payment is collected by Gathr on behalf of the organizer. A confirmed ticket will be automatically generated and delivered to you upon successful payment.

6.2 Verify Before You Pay

Gathr strongly advises all attendees to verify the authenticity of an event and its organizer before making any payment. Only purchase tickets for events run by organizers you trust. Gathr does not guarantee the authenticity, quality, or conduct of any event listed on the Platform.

6.3 Refunds & Cancellations

Gathr does not manage refunds. All refund and cancellation requests must be directed to the organizer of the event. Gathr is not responsible for issuing refunds under any circumstance. In the event of a cancellation, attendees must contact the organizer directly to resolve the matter.

6.4 Event Experience

Gathr has no control over and accepts no liability for the quality, safety, legality, or conduct of any event. Any disputes arising from an event must be resolved between the attendee and the organizer.

7. For Organizers

7.1 Account Responsibility

By creating an account on Gathr as an organizer, you agree to provide accurate and complete information about yourself and your events. You are solely responsible for all activity that occurs under your account.

7.2 Event Listings

You are responsible for ensuring that all event details — including title, description, date, venue, ticket pricing, and terms — are accurate and up to date. Misrepresenting any event detail is a violation of these Terms & Conditions.

7.3 Conducting Your Event

You are solely responsible for planning, organizing, and conducting your event. This includes compliance with all applicable local, state, and central laws and regulations, obtaining and maintaining all required venue permits, entertainment tax registrations, liquor licences, local police NOCs, fire safety clearances, and any other governmental approvals or licences required to host the event.

Gathr shall have no liability whatsoever arising from an organizer's failure to obtain any required permits or licences. Organizers shall indemnify Gathr against any claims, penalties, or legal proceedings arising from unlicensed or non-compliant events.

7.4 Refunds & Cancellations

If you cancel an event, you are solely responsible for communicating this to your attendees and for managing all refunds. Gathr will facilitate the return of collected funds where operationally possible, but the responsibility to refund attendees lies entirely with the organizer. Organizers are advised to clearly communicate their refund policy at the time of ticket sale.

7.5 Cancelled Events & Denied Entry

In the event that an organizer cancels an event or refuses entry to ticketed attendees, the organizer's contact details and relevant event information shall be shared by Gathr with all affected attendees to enable those attendees to seek resolution directly with the organizer. Organizers consent to such disclosure and acknowledge that Gathr's priority in such situations is the protection of attendee interests.

7.6 Payments & Settlements

Gathr collects ticket payments from attendees on behalf of organizers and settles the net amount (after deduction of applicable payment gateway fees) to the organizer's registered bank account. Payments received on a given day will be transferred to the organizer on a T+2 basis (i.e., two business days after receipt).

Gateway fees (currently 2% of transaction amount + 18% GST on the gateway fee, charged by Razorpay or the applicable gateway) are deducted at source before settlement.

7.7 Refunds, Chargebacks & Disputed Transactions

Any refunds, chargebacks, payment reversals, or disputed amounts initiated by attendees or payment processors after settlement to the organizer shall be the sole liability and responsibility of the organizer. Gathr's role shall be limited to facilitating data exchange or providing transaction information that may assist the organizer in establishing case evidence.

Gathr reserves the right to share organizer information and/or attendee information with payment processors, financial institutions, or regulatory authorities as necessary to resolve disputed transactions or comply with legal requirements.

7.8 Attendee Data Accuracy

Attendee data collected during registration (including names, contact details, and form responses) is self-reported by attendees. Gathr is not responsible for the accuracy, completeness, or veracity of attendee-submitted data. If an attendee enters incorrect information, Gathr shall bear no liability for any downstream consequences, including failed communications or incorrect ticket assignments.

7.9 Pricing & Fees

Gathr is free for organizers generating up to ₹25,000 in revenue per month on the platform. Beyond this threshold, a nominal platform fee may apply to cover platform and API infrastructure costs. This fee will be communicated transparently and agreed upon before it is charged. Gathr's intention is to remain a free or near-free service for all organizers. In certain cases, specific fee arrangements may be agreed between Gathr and an organizer in writing, which shall supersede the general fee provisions above for that organizer.

7.10 Custom Work

Organizers who require custom website design, custom payment gateway integration, bespoke feature development, API integrations, or any other work specific to their requirements that falls outside the standard Platform offering may engage Gathr for such Custom Work at an additional fee. Custom Work will be scoped, quoted, and agreed upon in writing before commencement and is charged separately from any platform fees.

8. Data & Privacy

8.1 Data Collection

Gathr collects attendee data — including names, contact details, and form responses — as part of the event registration and ticketing process. This data is shared with the organizer of the relevant event. Bank account details for payment settlement may be collected from organizers by Gathr's team.

8.2 Data Sharing

Gathr shares attendee data with the organizer of the relevant event. Gathr does not sell, rent, or share attendee data with any third parties for commercial or marketing purposes.

8.3 Gathr's Use of Platform Data

Gathr may use transaction data, usage data, and anonymised or aggregated data for the following legitimate platform purposes: (a) fraud detection and prevention, (b) platform performance monitoring and improvement, (c) aggregated analytics and trend reporting (where no individual is identifiable), and (d) compliance with legal and regulatory obligations. Gathr shall not use identifiable organizer or attendee data for marketing to third parties.

8.4 No Spam

Gathr does not use attendee data to send unsolicited marketing communications. Attendees will only receive communications from Gathr directly related to their bookings — such as ticket confirmations, payment reminders, and event updates.

8.5 Organizer Responsibility for Data

Organizers are responsible for their own use of attendee data shared with them and shall comply with all applicable data protection laws. Gathr accepts no liability for how organizers use the attendee data shared with them. Any concerns regarding data use by an organizer must be addressed directly with that organizer.

8.6 No Tracking

Gathr does not collect data from users who browse the Platform without completing a registration or booking.

9. Prohibited Conduct & Account Suspension

Gathr reserves the right to suspend or permanently ban any organizer account for violations of these Terms & Conditions. The following conduct may result in immediate termination, without warning or prior notice:

• Collecting payments for events that are not conducted, with no refund issued to attendees

• Creating fraudulent or fake events with the intent to deceive attendees

• Using the platform for money laundering or any other illegal financial activity

• Hosting or promoting events that are illegal under applicable law

• Impersonating another organizer, individual, or brand

• Organizing events that promote hate speech, discrimination, or violence

• Organizing events that result in documented harm to attendees

• Creating new accounts after a previous account has been terminated

• Repeatedly misrepresenting event details such as venue, date, lineup, or pricing

• Creating events with no genuine intention of conducting them

• Abusing the complimentary or offline ticketing system

• Receiving multiple verified complaints of harassment from attendees

• Consistently failing to communicate event cancellations to attendees in a timely manner

• Non-compliant use of the WhatsApp Business integration, resulting in restrictions imposed by Meta

This list is not exhaustive. Gathr reserves the right to terminate any account for any reason it deems appropriate, at its sole discretion, with no obligation to provide justification.

10. Intellectual Property

All content, design, and technology on the Gathr Platform — including but not limited to the Gathr name, logo, and software — is the property of Gathr and may not be used, copied, or reproduced without prior written permission.

Organizers retain ownership of the content they create on the Platform, including event descriptions, images, and forms. By uploading content to Gathr, organizers grant Gathr a non-exclusive licence to display and use that content for the purpose of operating the Platform. Gathr reserves the right to reference organizers publicly for the purpose of promoting the Platform, including the use of the organizer's name, logo, and event details. Such use shall be limited to platform promotion and shall not imply any transfer of ownership or exclusive licence rights.

11. Limitation of Liability

To the fullest extent permitted by applicable law, Gathr shall not be liable for any direct, indirect, incidental, or consequential damages arising from:

• The conduct, quality, safety, or cancellation of any event listed on the Platform

• Any financial disputes between organizers and attendees

• Unauthorised access to or use of your account

• Any errors, interruptions, or delays in the Platform's operation

• Any loss of data, revenue, sales, bookings, or business arising from Platform downtime, disruption, or maintenance

• Failures, outages, or policy changes of any Third-Party Service integrated with the Platform

• Inaccurate, incomplete, or false data submitted by attendees during registration

• Non-delivery or delayed delivery of email or WhatsApp communications

• An organizer's failure to obtain required permits, licences, or regulatory approvals

• Any reliance on Beta Features that are subsequently modified or withdrawn

Gathr's total liability to any party, under any circumstance, shall not exceed the platform fees paid by that party to Gathr in the three (3) months immediately preceding the claim.

12. Indemnity

Organizers shall indemnify and hold harmless Gathr, its directors, officers, and employees from and against any claims, damages, losses, or expenses (including reasonable legal fees) arising from: (a) their events, including any attendee claims; (b) their breach of these Terms & Conditions; (c) their violation of any applicable law, including failure to obtain required permits or licences; (d) any third-party claims arising from their use of attendee data; (e) claims arising from non-compliant use of the WhatsApp Business integration; or (f) any claims arising from cancellation of events or denial of entry to ticketed attendees.

13. Confidentiality

Any non-public or proprietary information exchanged between Gathr and an organizer in the course of using the Platform or entering into any separate agreement shall be treated as confidential by both parties. This obligation shall not apply to information that is or becomes publicly available, was independently developed, or is required to be disclosed by law. This confidentiality obligation shall survive termination of any agreement or the organizer's use of the Platform for a period of two (2) years.

14. Force Majeure

Gathr shall not be liable for any failure or delay in performing its obligations to the extent that such failure or delay results from circumstances beyond its reasonable control, including but not limited to natural disasters, pandemics, government actions, wars, civil unrest, internet or telecommunications failures, or third-party service disruptions. Gathr shall notify affected users promptly and use reasonable efforts to mitigate the impact.

15. Changes to These Terms

Gathr reserves the right to update these Terms & Conditions at any time. Changes will be communicated via email or a notice on the Platform. Continued use of the Platform after changes are posted constitutes acceptance of the updated terms. If you do not agree with any update, you must cease using the Platform.

16. Governing Law & Dispute Resolution

The Parties agree to first attempt to resolve any dispute arising from these Terms through good-faith negotiation. If the dispute cannot be resolved within 30 (thirty) days of written notice, either party may pursue legal remedies.

These Terms & Conditions are governed by the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Hyderabad, Telangana, India.
